1. Acceptance of Terms
By accessing any service provided by MoongcleLabs Co., Ltd. (“Company,” “we,” “us”), you agree to these Terms of Service (“Terms”).
When using the Service with eBay, you agree to comply with the eBay User Agreement and applicable developer terms.
2. Account Eligibility
- You must be at least 18 years old and legally capable of contracting.
- You agree to provide accurate, current account information.
- All connections use eBay’s official OAuth consent. We never request or store eBay passwords. You may connect only accounts you are authorized to manage.
3. License Grant
Subject to your ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use RepriceWiz solely for your own internal business purposes—and not for the benefit of any third party—including:
- 1. Listing & Repricing – creating, editing, monitoring, and automatically repricing listings on eBay (and any other marketplaces we support);
- 2. Profit Calculation – computing gross and net profit, fees, taxes, and other costs associated with those listings;
- 3. AI Analytics & Recommendations – receiving AI-generated price suggestions, demand forecasts, competitive insights, and similar analytic outputs;
- 4. Reporting & Visualization — generating and exporting aggregated or derived reports for your internal use; no bulk or raw exports of eBay Content or Restricted APIs data.
Reports and other outputs are licensed for your internal use only and may not be resold or publicly distributed without our prior written consent.Except for the limited rights expressly granted above, MoongcleLabs Co., Ltd. reserves all right, title, and interest in and to the Service, its software, models, and content.We may revoke this license upon written notice if you breach these Terms.You are responsible for ensuring that your use of the Service complies with any applicable third-party platform policies (e.g., eBay Terms of Service).
Bulk Actions — Updates to your own eBay listings(including thousands of price updates) are performed via official eBay APIs under your OAuth authorization. Requests are scheduled/queued to respect rate-limits. This clause does not authorize bulk download or redistribution of Restricted APIs data.
If use of any Restricted APIs for pricing tools requires eBay’s prior written consent, you acknowledge such consent may obligate us to grant eBay a license over tool outputs as described in the eBay API License, excluding your Personal Information and non-public business data except as necessary to operate your account.
4. Subscription Billing, Trials & Refunds
- 1. Billing. Subscriptions are billed monthly in advance; an email reminder is sent 24 hours before renewal.
- 2. Trials. Free or discounted trials convert to the standard plan unless cancelled; a reminder is sent 3 days prior.
- 3. Refunds. A one-time refund is available within 14 days of the first payment if the Service has not been materially used.
- 4. Cancellation. Cancel any time via dashboard or legal@moongclelabs.com; access continues until the end of the paid period.
5. AI & Earnings Disclaimer
All AI suggestions and price models are advisory, and you remain solely responsible for your business and pricing decisions on eBay. By using our service, you agree to indemnify and hold us harmless from any losses or claims arising from your use of the AI suggestions.
Price and profit estimates are statistical projections for informational purposes only; actual results may vary based on marketplace fees, competition, and your business decisions.
We do not train AI models on eBay source data or Personal Information. Service improvement uses aggregated, de-identified metrics only. AI suggestions are advisory; you remain responsible for pricing decisions.
6. Prohibited Conduct / Acceptable Use
- Reselling, sublicensing, reverse-engineering, or automated extraction of Service content for commercial purposes without our consent
- Listing counterfeit, illegal, or regulated items
- Manipulating AI outputs to violate marketplace rules or applicable laws
- No scraping or automated collection from eBay sites.
- No bulk download, resale, or API redistribution of eBay Content or Restricted APIs data.
- Do not undermine eBay’s business or violate API rate-limits; the Service may switch to fail-safe (pause/queue) upon limits.
Unless expressly permitted by eBay, you must not use data from eBay Restricted APIs to generate or distribute price suggestions or models, nor export or redistribute such data (raw or aggregated) or insights in bulk.
A. Features depending on eBay APIs may change, degrade, or be discontinued if eBay updates policies or limits access.
B. We respect eBay API rate-limits via scheduling, backoff, and throttling. When limits are reached, actions switch to fail-safe (pause/queue) and resume automatically when healthy.
7. Intellectual Property & DMCA
All RepriceWiz software, content, and trademarks are owned by
MoongcleLabs Co., Ltd. DMCA notices:

8. Limitation of Liability
To the maximum extent permitted by law, we are not liable for:
(a) marketplace policy actions against your account;
(b) API outages, rate-limits, or sandbox/live environment changes;
(c) lost profits or revenue; and
(d) any indirect, incidental, special, or consequential damages.
9. Export Compliance & Sanctions
The Service is subject to U.S. Export Administration Regulations and OFAC sanctions; usage in embargoed countries is prohibited.
10. Governing Law & Arbitration
These Terms are governed by Delaware law. However, any legal disputes or claims related to your use of the eBay API, or any other matter governed by a separate agreement with eBay, shall be subject to the governing law and dispute resolution provisions set forth in that separate agreement, which is currently the laws of the State of Utah. All disputes shall be resolved by binding arbitration under AAA Commercial Rules in Wilmington, Delaware, unless otherwise stipulated by your separate agreement with eBay.
